These Terms of Use apply to your account with FriendzLab and to all online services we provide to you: web apps, email, web hosting and other internet services. The provider is FriendzLab, owner Magnus Schmitz, 47877 Willich (‘we’). The full address is at the end of this page and in the legal notice.
These Terms of Use apply to all contracts between you and us for our online services.
By registering, you apply for an account. The contract is concluded as soon as we activate your account. If you accept an invitation, it is concluded as soon as you create your account. We agree on paid services separately; that contract is concluded when we accept your order in writing or electronically. We may refuse a registration or an order without giving reasons.
Any differing terms of your own apply only if we expressly agree to them in text form. Anything we agree with you individually takes precedence over these Terms of Use.
Depending on your account and service package, we provide you with the following services:
Exactly what your service package includes is set out in the relevant contract or offer.
We continuously develop our services further. Beyond that, we only change them for a valid reason, for example because of new legal requirements, for security, or because a component is no longer maintained. The change must be reasonable for you, and it will not cost you anything extra. We will inform you clearly and comprehensibly. If a change restricts your access to or the usability of a service more than insignificantly, we will notify you in text form in good time beforehand. You may then terminate the contract free of charge within 30 days of our notification.
Keep your login details secret and do not let anyone unauthorised access your account. If you notice any signs of misuse, let us know immediately.
You are responsible for all content that you store, publish or transmit via our services. It is not allowed:
Some apps also make content visible without logging in, for example profiles and class schedules in Classes or shared calendars in Diary. You decide what you show there. Only publish what you hold the rights to; this applies in particular to photos of other people.
Your content remains yours. You grant us the simple, free-of-charge right to store it, back it up, process it technically and display it to those you share it with, or to everyone if you publish it. This right applies only to the extent we need it to provide our services to you. It ends when you delete the content or your account. Copies in our backups disappear when those backups expire in the normal course. For public content in community apps, the following paragraph applies instead.
Some web apps thrive on the idea of community, currently Foodies and Choreos. If another one is added, we will notify you in advance in the same way as a change to these Terms of Use. If you make content public there, it becomes common property: you grant everyone the simple, free-of-charge and irrevocable right to use, edit and pass it on without any limits in time, territory or content, including commercially. Anyone who uses it does not have to credit you. Premium choreographies in Choreos are excluded; for these, the licence notice in the choreography applies. Under German law, nobody can assign copyright itself; this right for everyone comes closest to it. A new recipe in Foodies is public unless you set it to private. If you later set content to private, others will no longer see it in the app; anyone who has taken it over by then may continue to use it. If you delete your account, your public content remains in the app, without your name. After that, only the app's administrators can change or delete it. So only make public what you hold all the rights to.
We do not check content in advance and do not search through it. Our mail server automatically checks incoming emails for spam and malware. Apart from that, we do not use any automated moderation tools.
We take action when someone reports content to us, an authority orders it, or we ourselves come across a breach of section 4. Every case is reviewed by a human. We act carefully, objectively and proportionately, taking into account the rights of everyone involved, including your freedom of expression. Depending on the severity of the breach, we may:
If we take any of these measures, we will tell you by email what we have done and why: the facts we are relying on, which rule or law the content breaches, whether a report prompted it and how you can challenge it. If we become aware of a criminal offence that endangers people's lives or safety, we will inform the law enforcement authorities.
If you think our decision is wrong, write to us at hey@friendzlab.de. We will then review it again and let you know the outcome. If the measure was not justified, we will reverse it as far as still possible. You can also go to court or complain to the Digital Services Coordinator; in Germany, this is the Bundesnetzagentur.
How to report unlawful content is explained in our Legal Notices.
‘Special Terms of Use’ additionally apply to some web apps. You can find them in the relevant app.
We process your personal data in accordance with the applicable data protection laws, in particular the General Data Protection Regulation (GDPR). Your data is stored on servers in data centres within the European Union. Which data we transfer to whom and when, for example to your browser's push service, is set out in our Privacy Policy.
We strive to keep our services available with as few interruptions as possible. However, maintenance periods and brief technical outages cannot be ruled out. We do not promise any particular minimum availability.
We may also carry out necessary maintenance work without notice and temporarily restrict services while doing so, if this is required for continued operation.
We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and to the extent that we have given a guarantee.
In cases of slight negligence, we are only liable if we breach an essential contractual obligation. These are obligations without which the contract cannot be properly performed at all and on whose fulfilment you may regularly rely. Our liability is then limited to the foreseeable damage typical for the contract. Otherwise, we are not liable for slight negligence. These rules also apply to our vicarious agents.
If you culpably breach these Terms of Use, you are liable to us in accordance with the statutory provisions. If third parties make claims against us as a result, you will indemnify us against them, including the reasonable costs of our legal defence.
Your account runs for an indefinite period. You can delete it at any time under ‘My account’ and download your data there beforehand. We may terminate an account without paid services by giving 30 days' notice.
Unless otherwise agreed, paid contracts run for an indefinite period. Either party may terminate them with 14 days' notice to the end of the month. You can give notice in text form, for example by email, or via the ‘Cancel contracts here’ button on https://friendzlab.de.
The right to extraordinary termination for good cause remains unaffected. Good cause for us is in particular a serious or repeated breach of section 4.
We may change these Terms of Use with effect for the future if technical or legal developments make this necessary. We will notify you of every change in text form at least 30 days before it takes effect.
If a change only concerns procedures or implements new legal requirements, it is deemed accepted unless you object to it in text form before it takes effect. We will expressly point out this consequence to you in the notification. If you object, the previous terms continue to apply, and either party may terminate the contract as of the date the change takes effect.
Changes to the scope of our services or to prices only apply if you expressly agree to them.
The language of the contract is German. We provide other languages for information purposes only. The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law only applies insofar as it does not deprive them of the protection of mandatory provisions of the country in which they are habitually resident.
If you are a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes arising from this contract is our registered place of business.
We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
Should individual provisions of these Terms of Use be wholly or partially invalid, the validity of the remaining provisions shall remain unaffected.
